The moment. The FTC and 22 state attorneys general sued Amazon, alleging it secretly replaced its second-price ad auction result with a higher, profit-maximizing price from 2019, overcharging more than 1.2 million advertisers and extracting over $20 billion. Google Ads began bidding harder toward a target ROAS or CPA even when historical performance beat the target, turning the target into a price rather than a ceiling. OpenAI’s ad business reached a $1 billion annualized run rate less than 200 days after launch and opened self-serve in Europe. Nvidia confirmed a $12.93 billion purchase of Hugging Face.

The tension. Two of the largest sellers of advertising now set the price the buyer pays against the buyer’s own target, and it took seven years for the first enforcement action to arrive. Meanwhile the agentic layer keeps shipping into those same auctions — Trade Desk’s Kokai Zuma, Yahoo’s in-flight optimization — and the thing being automated is a bid nobody outside the seller can audit.
